§1. Service Provider Details

The owner of the website is SULEMA Sp. z o.o. with its registered office at: 32-540 Trzebinia, ul. 22 Stycznia 1863 r. 14, KRS: 0001046418, NIP: 6282291938 – VAT payer. Contact: info@sulema.pl.

§2. Definitions

• Website – website gsuiteforbusinesses.online.
• Service Provider – SULEMA Sp. z o. o.
• Customer – the entity placing the order (entrepreneur or consumer).
• Digital Service – configuration and launch of an email environment based on Google Workspace and accompanying services (e.g., DNS configuration, migration, integration), delivered without a physical medium.

§3. Scope and Nature of Services

• The Service allows you to place an order to set up and manage corporate email in the Customer's domain using Google Workspace, including: domain registration/management, DNS zone configuration with the Customer's operator, email mailbox migration, basic account configuration admin.qssl.pl, as well as additional software integrations upon request.
• Services are provided remotely, after placing an order via the form.

§4. Conclusion of the Agreement and Payment Obligation>

• Submitting the form with the required consents constitutes the submission of an order with an obligation to pay and the conclusion of an agreement for the provision of electronic services with the Service Provider.
• After placing the order, the Customer receives a proforma invoice via email. Implementation begins after payment is received in accordance with §7.

§5. Price List (gross prices, including 23% VAT)

• Domain – 1 unit: €25
• 30 GB Account: €25
• 50 GB Account: €50
• 100 GB Account: €100

Additional programming service (custom integration): €25 net / 1 working hour (+ VAT). Scope and cost according to individual calculation/estimate.

§6. Payments

• Bank transfer (split payment mechanism) – to the account indicated on the proforma invoice sent to the Customer's email.
• Electronic payment – Przelewy24 / BLIK / payment card / iDEAL / Klarna / giroPay / Bancontact / EPS / Apple Pay / Google Pay / AliPay / SEPA / Sofort (payment link managed by Stripe).

§7. Completion Timeframe

• Proforma invoice: within 24 hours of receiving the order.
• Activation of the pre-configured admin.qssl.pl account: within 24 hours of receiving the payment based on the proforma invoice.
• VAT invoice: within 24 hours of receiving the payment based on the proforma invoice.
• DNS zone configuration with the Client's operator: within 48 hours of receiving the payment based on the proforma invoice and within 24 hours of providing complete access data via the encrypted form: https://www.gsuiteforbusinesses.online/formularz/.
• Email migration: 1–14 business days from correct DNS configuration and domain activation (time depends on data volume and source availability).
• Additional services: according to individual calculations and estimates.

§8. Customer who is a consumer – right of withdrawal

1. The consumer has the right to withdraw from a distance contract within 14 days without giving any reason, subject to the reservations in points 2-5.
2. Digital content/services not available on a tangible medium. If the consumer has expressly consented to commencement of the service before the expiry of the withdrawal period and has been informed of the loss of the right of withdrawal, they lose the right to withdraw from the contract after commencement of the service. The information and consent are collected in a form (separate checkbox). [Art. 38 point 13 of the Consumer Rights Act]
3. Service (not fully performed) commenced at the Consumer's request before the expiry of the 14-day period. In the event of withdrawal, the Consumer shall bear the costs proportionally to the scope of the service provided until the time of withdrawal. The cost of our employee's work is PLN 65.00 net per working hour, and the time required for completion: creating an order (10 min), adding a domain to the system (20 min), full domain configuration (2 h), and data migration (from 2 h to 48 h).
4. To exercise the right of withdrawal (where applicable), please submit a declaration by email to: info@sulema.pl. You can use the template from §9 sec. 5 (optional).

§9. Compliance of the service/digital content with the contract – complaints (consumers)

• The Service Provider is responsible for the compliance of the service/digital content with the contract. In the event of non-compliance, the Consumer may request that it be brought into compliance, and if this is impossible or disproportionate, a price reduction or withdrawal from the contract.
• The Service Provider provides the necessary updates within the period required by law, to the extent appropriate to the nature and purpose of the service.
• Complaints should be sent to: info@sulema.pl (description of the non-compliance, date, contact details).

§10. Google Workspace Terms of Use and Sanctions

• Google Workspace is a service provided by Google. The service provider acts as an integrator/partner and is not the provider of the Google Workspace service itself.
• Use of Google Workspace is subject to the terms and conditions set forth by Google (Google Workspace Terms). Violations of these terms may result in immediate suspension of accounts/services, including domain blocking from the Google infrastructure – regardless of the Service Provider's actions.
• The following activities are prohibited: circumventing limits/fees, spam/phishing/malware, attempting unauthorized access, using for illegal or high-risk activities, and violating Google's acceptable use policy.
• If domains and user accounts are blocked due to prohibited activities, there is no right to a refund for the service, as the warranty and terms of use have been violated.
• The user is obligated to protect their data on devices against viruses, malware, and spam. Failure to do so will result in the rejection of any refund claim due to the blocks and restrictions imposed. Authorized security software for devices includes: ESET NOD32, ESET Smart Security, ESET Home Security, ESET Internet Security, and Malwarebytes Anti-Malware. Other types of programs available on the market are not authorized and are considered safe by the administration of our website.

§11. Liability and Limitations

• The Service Provider is not liable for interruptions/limitations on the part of external suppliers (including Google), DNS operators, domain registries, banks, payment processors, or for force majeure reasons.
• In B2B relationships: the Service Provider's liability for damages is limited to the amount of remuneration received for a given service (excluding intentional damage). These limitations do not violate mandatory provisions of law.

§12. Invoice Details and Communication

• Proforma and VAT invoices are delivered electronically to the email address provided in the order.
• The Customer provides true and complete information (Tax Identification Number (NIP) in the case of a company, address, email address, and telephone number) and updates it if it changes.

§13. Final Provisions

• Polish law applies. For B2B disputes, the court having jurisdiction over the Service Provider's registered office shall have jurisdiction. The Consumer's rights under mandatory provisions are not limited.
• These Terms and Conditions may be changed for important reasons (e.g., changes in the law/Google terms). They are effective from the date of publication on the Website.
